Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AuditVault platform and related services ("Service") provided by Joyful Memories Pty Ltd (ABN: 92 680 172 196). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility and account registration
You must be at least 16 years old and have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your credentials.
2. Permitted use
You may use the Service solely for your organization's internal compliance and security purposes. You agree not to:
- Use the Service for any unlawful purpose.
- Reverse-engineer, decompile, or attempt to derive source code from the Service.
- Share your account credentials with unauthorized parties.
- Upload malicious code or content that violates third-party rights.
- Attempt to gain unauthorized access to other accounts or systems.
3. Subscription and payment
Certain features require a paid subscription. Subscription fees are billed in advance. All fees are non-refundable except as expressly stated or required by law. Price changes come with at least 30 days' notice.
4. Your data
You retain all ownership rights to your Customer Data. We use it only to provide the Service and will not disclose it except as required by law.
5. Intellectual property
All rights in the Service remain with Joyful Memories Pty Ltd. You receive only a limited license to use the Service as described herein.
6. Availability
We aim for 99.9% monthly uptime for paid plans. Scheduled maintenance and events outside our control are excluded.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR AU$100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
9. Termination
Either party may terminate these Terms at any time. Upon termination, Customer Data will be available for export for 30 days, then deleted.
10. Governing law
These Terms are governed by the laws of New South Wales, Australia. Disputes shall be subject to the courts of New South Wales.
